Terms of Service

1. Scope

These Terms govern your access to vorepo (vorepo.com). By creating an account or using the Platform, you accept these Terms.

2. Nature of the Platform

Vorepo is an entertainment-trading platform. Repo Tickets are synthetic instruments derived from public GitHub metrics.

• Repo Tickets grant no ownership interest in any repository, maintainers, or third party.
• Repo Tickets are not securities. Not registered with any financial regulator.
• Outcomes are never promised. You may lose every fee you deposit.
• Vorepo is not a bank or advisor. No fiduciary duties.

2a. Custody model

Vorepo currently operates a custodial trading model. USDC you deposit is held on a Vorepo-operated Solana hot wallet during your trading on the Platform. Your balance is reflected in the Platform database. You retain the right to withdraw your USDC at any time, subject to standard fees and Solana network confirmation time. A multisig hardening (2-of-3) is in active rollout to reduce single-key risk; details on /security.html.

Custody architecture is expected to evolve as the Platform grows to enhance security and user protection. Withdrawal access remains the highest operational priority throughout.

2b. Beta features

Some Platform features may be released in private beta or limited preview form. They are flagged as such in-app and may be changed, paused, or removed at any time without prior notice. Beta features may also have additional eligibility constraints (e.g. Telegram Mini App is currently in private beta — only invited testers can authenticate; the public website at vorepo.com remains the primary entry point for all users).

Repo Wars (weekly head-to-head ranking with optional charity component) is announced as a future product. It is not currently live. The charity-payout component will only become operational after legal review and the establishment of an appropriate licensed entity. Until then, no funds are collected, ranked, or distributed under the Wars brand.

3. Eligibility

You must be at least 18 years of age to access the Platform. You confirm and warrant that you are of legal age in your jurisdiction.

3a. Geographic restrictions

The Platform is not available to residents of, or persons accessing it from, the following jurisdictions (the "Restricted Jurisdictions"):

• The Netherlands (NL)

The list of Restricted Jurisdictions may be updated from time to time without prior notice. The current list is available at /unavailable.html and is enforced via IP-based geolocation at our edge.

By using the Platform, you confirm that you are not a resident of, nor accessing the Platform from, any Restricted Jurisdiction. You are responsible for ensuring your use of the Platform is lawful where you live; Vorepo does not provide legal advice on local laws.

If new jurisdictions are added to the Restricted Jurisdictions list, affected users will be notified by email and given a reasonable period to withdraw their balance.

4. Account

Provide accurate registration. Safeguard your credentials and use 2FA where possible. Do not transfer or sell accounts. Vorepo may, at its discretion, request additional identity verification for unusually large withdrawals; we will notify you in advance and only request the data needed for the specific case.

5. Deposits & withdrawals

All settlement in USDC on Solana. Withdrawals are processed by an automated worker after email confirmation. Minimum deposit $5. Vorepo never holds your card details — fiat-to-USDC onramps run via independent providers under their own terms.

5a. Withdrawal security tiers

To protect user funds, Vorepo applies tiered authorization for withdrawals. By using the Platform you accept these tiers:

• Low-value withdrawals: Email confirmation code only.
• Moderate-value withdrawals: Email confirmation + two-factor authentication code (TOTP, e.g. Google Authenticator, Authy, or built-in Apple Passwords).
• Higher-value withdrawals: Email + TOTP + a short security delay before processing. Vorepo Plus subscribers receive priority processing.
• Heavy-volume withdrawals: May require additional identity verification per applicable AML/CFT rules. Contact support to initiate.

Specific thresholds are visible in your account dashboard and are not published, in line with industry standard (same convention as Polymarket, Coinbase, Kalshi). Publishing exact values would make them gameable; full constants are provided to regulators on request.

You are responsible for maintaining your authenticator app and the 10 recovery codes generated during 2FA setup. Lost authenticator + lost recovery codes may delay withdrawals while we verify identity. Vorepo does not use SMS verification — see /security.html.

6. Trading rules

The Platform applies built-in price-stability and position-limit policies. Per-account exposure is capped. Abusive activity may be reverted at the operator's discretion.

7. Fees

Current fee schedule is published at /pricing.html and may be updated with notice.

8. Prohibited conduct

• Star farming or other manipulation of underlying repository metrics
• Wash trading or coordinated trading designed to move price
• Spoofing or order-flow abuse
• Using VPN/proxy to bypass geo-restrictions
• Operating multiple accounts or duplicate-account abuse
• Trading on non-public information about a listed repository
• Reverse-engineering or attacking Platform security

9. Intellectual property

Platform code + trademarks are operator property. GitHub data used per GitHub ToS §E (analytics).

10. Termination

We may suspend/terminate for breach. Open positions closed at market. USDC balance returned net of fees and forfeits.

11. Disclaimers

PLATFORM PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES. All implied warranties disclaimed to maximum extent permitted by law.

12. Limitation of liability

Total liability capped at the greater of (a) fees paid in preceding 12 months or (b) $100 USDC. No indirect, incidental, or consequential damages.

13. Disputes

Disputes are resolved by binding individual arbitration. Jury trial and class actions are waived to the extent permitted by law. The seat and governing law follow the operator's then-current jurisdiction.

14. Changes

30-day notice for material changes (in-app + email). Continued use = acceptance.
